These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Stayover Technologies, Inc., doing business as Stayover.ai ("Stayover," "we," "us," or "our"). Please read these Terms carefully before using our website, mobile application, or any related services (collectively, the "Service").
1. Acceptance of Terms
By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Service.
You must be at least eighteen (18) years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
2. Description of Service
Stayover.ai is a travel technology platform that helps users search for, compare, and book flights and hotel accommodations. We aggregate pricing and availability information from third-party airlines, hotel providers, online travel agencies, and other suppliers (collectively, "Suppliers") to present users with travel options.
Stayover.ai is not an airline, hotel operator, or direct travel provider. We act as a technology intermediary that facilitates bookings with third-party Suppliers. Your contractual relationship for any flight or hotel booking is with the applicable Supplier, not with Stayover.ai. We do not own, operate, or control any aircraft, hotel property, or transportation service.
The Service may include, but is not limited to: flight search and booking, hotel search and booking, price comparison tools, itinerary management, and related travel planning features.
3. The Stayover Concept
Our platform specializes in "stayover" routing—an approach to air travel where users fly through one or more hub cities with planned hotel stays at those hubs, rather than booking a single nonstop or connecting flight. This strategy can result in significant cost savings compared to traditional routing.
3.1 Separate Bookings
Each segment of a stayover itinerary—including individual flight legs and hotel reservations—is a separate, independent booking with the applicable Supplier. These bookings are not linked or protected as a single reservation. By using stayover routing, you acknowledge and accept the following:
- A disruption, cancellation, or delay affecting one booking (e.g., the first flight leg) does not automatically entitle you to a refund, rebooking, or compensation for any other booking in the itinerary (e.g., the hotel stay or onward flight).
- Airlines are not obligated to accommodate missed connections or rebook you on alternative flights for separately ticketed segments.
- Hotel cancellation policies apply independently to each hotel booking, regardless of whether a related flight is delayed or cancelled.
- You are solely responsible for ensuring adequate time between bookings to account for potential delays, customs and immigration processing, airport transfers, and other logistical considerations.
3.2 Travel Insurance
We strongly recommend purchasing comprehensive travel insurance that covers trip interruption, cancellation, and delays when booking stayover itineraries. Stayover.ai is not an insurance provider and does not offer travel protection plans.
4. User Obligations
4.1 Accurate Information
You agree to provide accurate, current, and complete information when using the Service, including but not limited to:
- Passenger names that exactly match government-issued identification documents (passport, driver's license, or national ID) as required by the applicable Supplier. Discrepancies in names may result in denied boarding or check-in refusal, and Stayover.ai bears no responsibility for such consequences.
- Contact information including a valid email address and phone number for booking confirmations and travel updates.
- Payment information that is accurate and authorized for your use.
4.2 Travel Documentation
You are solely responsible for obtaining and maintaining all travel documents required for your itinerary, including but not limited to:
- Valid passports with sufficient remaining validity for your destination(s).
- Visas, electronic travel authorizations, or entry permits.
- Health and vaccination documentation, including any requirements imposed by destination countries or transit points.
- Customs declarations and any other documentation required by applicable governmental authorities.
Stayover.ai does not verify immigration or entry requirements on your behalf. Requirements vary by nationality and destination and may change without notice. You should consult the relevant government authorities or embassies for current requirements.
4.3 Compliance with Supplier Policies
You agree to comply with all terms, conditions, rules, and policies of the Suppliers whose products you book through the Service, including but not limited to airline conditions of carriage, hotel guest policies, baggage policies, and check-in requirements.
5. Booking and Payment
5.1 How Booking Works
When you make a booking through Stayover.ai, we transmit your booking request to the applicable Supplier(s) through their application programming interfaces (APIs) or other integration methods. Your booking is confirmed only when the Supplier accepts the reservation and issues a confirmation. Until you receive a booking confirmation, no reservation has been made.
5.2 When Charges Occur
Your payment method is charged at the time of booking confirmation. In some cases, Suppliers may place a temporary authorization hold on your payment method prior to final confirmation. If a booking cannot be confirmed, any authorization hold will be released in accordance with your payment provider's policies.
5.3 How We Make Money
Stayover.ai generates revenue by adjusting pricing relative to wholesale flight and hotel rates obtained from our Supplier network. The price you see on Stayover.ai reflects this adjustment and represents the total amount you will be charged — there are no hidden fees or surprise markups after checkout. Our pricing is always transparent: the price displayed at booking is the price you pay.
This pricing model allows us to invest in our technology, maintain our platform, and provide customer support. The margin we apply is at our sole discretion and may vary based on route, availability, demand, and other factors. We are committed to offering competitive prices that deliver genuine value compared to booking the same itinerary through traditional channels.
5.4 Currency
All prices on the Service are displayed and charged in United States Dollars (USD) unless otherwise specified. If your payment method is denominated in a different currency, your financial institution may apply currency conversion fees, over which Stayover.ai has no control.
5.5 Payment Processing
Payment processing is handled by third-party payment processors. By submitting your payment information, you authorize us and our payment processors to charge the applicable amounts to your payment method. Stayover.ai does not store full credit card numbers on its servers. All payment data is handled in accordance with applicable Payment Card Industry Data Security Standards (PCI DSS).
6. Pricing
Prices displayed on the Service are sourced in real time from third-party Supplier APIs. You acknowledge and agree that:
- Prices are subject to change at any time until a booking is confirmed. The price you see during search may differ from the price at the time of booking if the Supplier's pricing has changed in the interim.
- Displayed prices include applicable taxes and fees to the extent provided by the Supplier. Some destinations may impose additional local taxes, resort fees, or surcharges that are collected directly by the Supplier at the point of service.
- Stayover.ai does not set or control Supplier pricing. We display prices as received from Supplier APIs and are not responsible for pricing errors originating from Suppliers.
- In rare cases, a Supplier may reject a booking due to a pricing error. In such cases, you will be notified and any charges will be refunded in full.
7. Cancellation and Refunds
7.1 24-Hour Cancellation
In accordance with U.S. Department of Transportation (DOT) regulations, flight bookings made seven (7) or more days before the scheduled departure date may be cancelled within twenty-four (24) hours of booking for a full refund, provided the booking was made through Stayover.ai. This 24-hour cancellation right applies to the airfare portion of your booking only.
7.2 Cancellations Beyond 24 Hours
After the 24-hour cancellation window (or for bookings made within 7 days of departure), cancellations and refunds are governed by the applicable Supplier's cancellation policy. Many fares and rates are non-refundable or subject to cancellation penalties. You are responsible for reviewing the cancellation policy of each booking before purchase.
7.3 Refund Timelines
When a refund is approved, processing times are as follows:
- Credit card refunds: Within seven (7) business days from the date the refund is approved.
- All other payment methods: Within twenty (20) calendar days from the date the refund is approved.
Please note that some refunds may be processed directly by the Supplier rather than by Stayover.ai. In such cases, refund timelines are determined by the Supplier's policies and may differ from the timelines stated above.
7.4 Service Fee Refunds
Service fees charged by Stayover.ai may be non-refundable except where required by applicable law or as described in our Booking & Cancellation Policy. Please review our full Booking & Cancellation Policy for detailed information on refund eligibility and procedures.
8. Limitation of Liability
8.1 "As Is" and "As Available"
The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by applicable law, Stayover.ai disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
8.2 No Guarantees
Stayover.ai does not warrant or guarantee that:
- The Service will be uninterrupted, timely, secure, or error-free.
- The results or information obtained through the Service will be accurate or reliable.
- Any errors in the Service will be corrected.
- Prices displayed will remain available at the time of booking.
8.3 Liability Cap
To the maximum extent permitted by applicable law, the total aggregate liability of Stayover.ai, its officers, directors, employees, agents, and affiliates, arising out of or in connection with these Terms or your use of the Service, shall not exceed the total amount of service fees actually paid by you to Stayover.ai during the twelve (12) months preceding the event giving rise to the claim.
8.4 Exclusion of Certain Damages
To the maximum extent permitted by applicable law, Stayover.ai shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, whether based on warranty, contract, tort (including negligence), strict liability, or any other legal theory, even if Stayover.ai has been advised of the possibility of such damages.
8.5 Supplier-Related Matters
Without limiting the foregoing, Stayover.ai is not liable for:
- Flight cancellations, delays, diversions, or schedule changes by airlines.
- Hotel overbookings, service deficiencies, or property conditions.
- Missed connections resulting from separate bookings, including stayover itineraries.
- Weather events, natural disasters, or other circumstances beyond our control.
- Actions or omissions of any Supplier or third party.
- Loss or damage to baggage or personal property.
- Personal injury or death arising from Supplier services.
9. Indemnification
You agree to indemnify, defend, and hold harmless Stayover.ai, its parent company, subsidiaries, affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, demands, actions, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your use of or access to the Service.
- Your violation of these Terms.
- Your violation of any applicable law or regulation.
- Your violation of any rights of a third party, including Suppliers.
- Any content or information you submit through the Service.
- Any booking made through your account, whether authorized or unauthorized, if caused by your failure to maintain the security of your account credentials.
10. Intellectual Property
10.1 Ownership
The Service and all of its content, features, and functionality—including but not limited to text, graphics, logos, icons, images, audio clips, software, user interface design, data compilations, and the arrangement thereof—are owned by Stayover.ai, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
10.2 Trademarks
"Stayover," "Stayover.ai," the Stayover.ai logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Stayover Technologies, Inc. or its affiliates. You may not use such marks without our prior written permission.
10.3 Restrictions
You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material from the Service except as generally and ordinarily permitted through the Service according to these Terms. Specifically, you may not:
- Scrape, crawl, or use any automated means to extract data or content from the Service.
- Systematically retrieve data to create or compile a collection, compilation, database, or directory.
- Frame, mirror, or incorporate any part of the Service into another website or application without prior written consent.
- Remove, alter, or obscure any copyright, trademark, or other proprietary notices.
11. Prohibited Conduct
You agree not to use the Service for any purpose that is unlawful or prohibited by these Terms. Without limitation, you agree not to:
- Commit fraud: Make bookings using false, misleading, or stolen payment information, or engage in any fraudulent activity.
- Use automated access: Use bots, scrapers, spiders, crawlers, or any other automated means to access the Service, extract data, or monitor pricing without our express written permission.
- Impersonate others: Impersonate any person or entity, or falsely state or misrepresent your identity or affiliation with any person or entity.
- Interfere with the Service: Attempt to interfere with, compromise the system integrity or security of, or decipher any transmissions to or from the servers running the Service; introduce viruses, trojans, worms, or other malicious code; or overload, flood, or spam any part of the Service.
- Circumvent restrictions: Bypass or attempt to bypass any measures we employ to prevent or restrict access to the Service or specific features thereof.
- Resell or commercially exploit: Resell, redistribute, or commercially exploit the Service or any content obtained through the Service without our express written consent.
- Abuse communications: Use the Service to send unsolicited commercial messages, spam, or other unauthorized communications.
Stayover.ai reserves the right to suspend or terminate your access to the Service immediately, without notice, if we reasonably believe you have engaged in any prohibited conduct.
12. Third-Party Services
The Service may contain links to, or integrate with, third-party websites, applications, services, or content ("Third-Party Services"), including but not limited to airline and hotel booking systems, payment processors, map providers, and analytics services. These Third-Party Services are not under our control, and Stayover.ai:
- Is not responsible for the content, accuracy, availability, policies, or practices of any Third-Party Services.
- Does not endorse any Third-Party Services or any products, services, or information offered through them.
- Bears no liability for any loss or damage arising from your use of or reliance on Third-Party Services.
Your interactions with Third-Party Services, including Suppliers, are governed by those parties' own terms and policies. We encourage you to review the terms and privacy policies of any Third-Party Services before engaging with them.
13. Dispute Resolution
13.1 Governing Law
These Terms and any dispute arising out of or relating to them or the Service shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
13.2 Informal Resolution
Before initiating any formal dispute resolution proceeding, you agree to first attempt to resolve any dispute informally by contacting us at legal@stayover.ai. We will attempt to resolve the dispute informally within thirty (30) days of receiving your notice. If the dispute is not resolved within this 30-day period, either party may proceed to binding arbitration as described below.
13.3 Binding Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that cannot be resolved through informal resolution shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration shall be conducted by a single arbitrator, in the English language, and shall take place in Wilmington, Delaware, or at another mutually agreed location. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
13.4 Class Action Waiver
You and Stayover.ai agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against Stayover.ai. If this class action waiver is found to be unenforceable, then the entirety of this arbitration provision shall be null and void, and the dispute shall be resolved in the courts specified in Section 13.1.
13.5 Exceptions
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.
14. Force Majeure
Stayover.ai shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, epidemics or pandemics, war, terrorism, riots, civil unrest, government actions or restrictions, embargoes, sanctions, labor disputes or strikes, fire, flood, earthquake, power failures, internet or telecommunications outages, cyberattacks, or other force majeure events. During such events, our obligations under these Terms shall be suspended for the duration of the force majeure event.
15. Modifications to These Terms
Stayover.ai reserves the right to modify, amend, or update these Terms at any time at our sole discretion. When we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, provide additional notice (such as a banner on the Service or an email notification).
Your continued use of the Service after any modification to these Terms constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must stop using the Service. We encourage you to review these Terms periodically to stay informed of any changes.
16. General Provisions
16.1 Entire Agreement
These Terms, together with our Privacy Policy and any other legal notices or policies published on the Service, constitute the entire agreement between you and Stayover.ai regarding your use of the Service and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning the subject matter herein.
16.2 Severability
If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of the remaining provisions.
16.3 Waiver
No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
16.4 Assignment
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. Stayover.ai may assign these Terms without restriction.
